As a complement to its sector-specific work, the firm has a pro-active Corporate Advisory Department that provides advice on a full spectrum of corporate and commercial law issues.
We advise on the legal requirements for doing business in Nigeria, including the procedures for securing local incorporation and the authorisations that may be required. We also provide advice to foreign and local investors on the most tax-efficient structures for their investments and for compensating their employees; on the protection of their intellectual property; and on labour and employment issues.
In order to reflect the arrangements among shareholders and between new companies and their technical partners, we assist in the drafting of various agreements such as joint venture agreements, shareholders agreements, subscription agreements and technical and management services agreements. The Corporate Advisory Department also provides assistance to clients in connection with the remittance of dividends and the repatriation of capital following a divestment.
For investors that seek to acquire an interest in existing Nigerian businesses, we offer specialised legal due diligence services that focus on identifying the legal risks associated with the companies in which they wish to make investments.
